1. Acceptance of Terms

By accessing and using the services provided by tunebull.com ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

tunebull.com provides a platform for artists and creators to create and manage their online presence, including profile pages, social media integration, and content sharing features. The Service is operated by StayOnBeat,LLC.

3. User Responsibilities

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account or password. You must be at least 18 years old to use this Service.

4. Content and Conduct

You are solely responsible for the content you post, upload, or otherwise make available through the Service. You agree not to use the Service to:

• Post content that is illegal, harmful, threatening, abusive, or defamatory
• Infringe on the intellectual property rights of others
• Impersonate any person or entity
• Interfere with or disrupt the Service
• Collect or store personal data about other users without their consent

5. Music Review Sessions, Submissions, and Payments

tunebull.com provides tools that let users (“Hosts”) run live or recorded music review sessions and let other users (“Submitters” or “Fans”) submit music for review, including free submissions and paid skip plays such as “Guaranteed,” “Instant,” and “Custom” tiers. The following terms apply to all participants in a Music Review Session.

5.1 Hosts — Responsibility for Sessions and Content

• Hosts are independent users of the Service. Hosts are not employees, agents, partners, or representatives of StayOnBeat, LLC or tunebull.com.
• Hosts are solely responsible for the conduct, content, opinions, feedback, and any commentary delivered during their review sessions, including on any third-party streaming platform (YouTube, Twitch, Instagram, TikTok, Facebook, etc.).
• Hosts are solely responsible for moderating the songs and audio they choose to play, including ensuring they have the right to broadcast that audio, and for skipping or removing submissions that violate applicable laws, platform rules, or the Host's own posted rules.
• Hosts set their own skip-play pricing. Hosts are solely responsible for delivering the type of review they advertise (e.g. honoring “Guaranteed” or “Instant” play tiers) and for handling refund requests where appropriate.
• Hosts are solely responsible for reporting and paying any taxes on income earned through the Service.

5.2 Submitters — Responsibility for Submitted Material

• By submitting a song, link, MP3, artist name, image, or any other material to a Host's review page, you represent and warrant that you own all rights to that material or that you have the necessary licenses, permissions, and consents to submit it for public review and broadcast.
• You understand and agree that submitted material may be played, discussed, critiqued, streamed, recorded, and/or shared by the Host on third-party platforms. You grant the Host and tunebull.com a non-exclusive, worldwide, royalty-free license to use the submitted material solely for the purpose of operating the review session.
• Submitting material is at your own risk. Hosts may offer honest, critical, or unfavorable opinions about your music. By submitting, you waive any claim against the Host, StayOnBeat, LLC, or tunebull.com based on the content, tone, or outcome of any review.
• You agree not to submit material that is illegal, infringing, defamatory, harassing, sexually explicit involving minors, or otherwise prohibited by Section 4 of these Terms.

5.3 Payments, Refunds, and Stripe

• All paid skip plays and other paid features are processed by Stripe, Inc. (“Stripe”). By using paid features, you also agree to Stripe's applicable terms of service, including the Stripe Connected Account Agreement and Stripe Services Agreement.
• tunebull.com uses Stripe Connect. Funds from paid skip plays are paid to the Host's connected Stripe account, less Stripe processing fees and a platform fee retained by tunebull.com / StayOnBeat, LLC as disclosed in the Host dashboard.
• StayOnBeat, LLC and tunebull.com are not a party to the transaction between a Submitter and a Host. The platform merely facilitates the connection and payment processing.
• Refunds for paid skip plays are the sole responsibility of the Host. StayOnBeat, LLC and tunebull.com are not obligated to issue refunds, chargebacks, or replacements for any paid submission, including but not limited to: a Host declining to play a song, a Host ending a session early, a Host going offline, technical issues during a stream, dissatisfaction with the review, or any other reason.
• You acknowledge that chargebacks initiated through your card issuer may result in fees, account holds, or termination of access to the Service.

5.4 No Liability for User Music, Content, or Payments

To the maximum extent permitted by law, StayOnBeat, LLC, tunebull.com, and their officers, directors, employees, contractors, and agents are NOT responsible or liable for:

• Any music, audio, lyrics, images, links, MP3 files, or other content uploaded, submitted, played, broadcast, or discussed by any user of the Service.
• Any copyright, trademark, publicity, privacy, or other intellectual-property infringement claims arising from material submitted to or played by a Host.
• Any opinions, critiques, ratings, feedback, statements, or conduct expressed by Hosts, Submitters, or other users, on or off the Service.
• Any disputes between Hosts and Submitters, including disputes about the quality, fairness, length, or outcome of a review.
• Any failure by a Host to play, complete, or refund a paid submission.
• Any payment processing errors, payout delays, declined transactions, fraudulent charges, or other financial issues arising from Stripe or any other payment processor.
• Any third-party streaming platform's actions, including stream takedowns, suspensions, copyright strikes, or platform bans resulting from a review session.
• Any loss, damage, or claim arising from a user's reliance on a Host's feedback or on metrics, exposure, or promotional value associated with a review session.

By using the Music Review Session features, both Hosts and Submitters expressly release and hold harmless StayOnBeat, LLC, tunebull.com, and their affiliates from any and all claims, demands, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to their participation in, or any content or payment associated with, a review session.

6. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND. StayOnBeat,LLC and tunebull.com expressly disclaim all warranties, whether express, implied, or statutory, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy, reliability, or completeness of any content
• Warranties that defects will be corrected

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STAYONBEAT,LLC, TUNEBULL.COM, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or use
• Business interruption
• Personal injury or property damage
• Any damages resulting from the use or inability to use the Service
• Any damages resulting from unauthorized access to or alteration of your data

THE TOTAL LIABILITY OF STAYONBEAT,LLC AND TUNEBULL.COM SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify and hold harmless StayOnBeat,LLC, tunebull.com, and their officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which StayOnBeat,LLC is incorporated, without regard to its conflict of law provisions.
